These Terms of Service (“Terms”) govern access to and use of Whalewick, including www.whalewick.com, associated services, customer accounts, marketplace functionality, seller stores, communications, and related services collectively referred to as the “Platform.”

Whalewick is operated by Cloverpin Inc., a California corporation in the United States (“Cloverpin,” “Whalewick,” “we,” “us,” or “our”).

Whalewick is currently intended to provide marketplace services in Sri Lanka.

By creating an account, placing an order, selling products, submitting reviews, communicating through the Platform, or otherwise using Whalewick, you agree to these Terms and the policies incorporated into them.

If you do not agree, do not use the Platform.

1. Marketplace Structure

Whalewick is a multi-vendor marketplace focused on electronics and related products.

Independent registered businesses approved by Whalewick may offer products through the Platform.

Unless Whalewick expressly identifies itself as the seller of a product, the applicable third-party Vendor is the seller responsible for that product.

Whalewick provides marketplace infrastructure that may include:

  • product discovery;

  • Vendor storefronts;

  • account management;

  • order placement;

  • payment facilitation;

  • Stripe Connect functionality;

  • cash-on-delivery order functionality;

  • pay-at-store pickup functionality;

  • communication tools;

  • reviews and ratings;

  • returns and dispute management;

  • customer support; and

  • other marketplace services.

2. Eligibility

You must be at least 18 years old to create or use a Whalewick customer account.

Guest checkout is not currently available.

You must provide accurate and current information when registering.

3. Accounts

You are responsible for:

  • keeping your login credentials secure;

  • maintaining accurate contact information;

  • protecting access to your account; and

  • promptly notifying Whalewick of suspected unauthorized access.

You may not:

  • impersonate another person;

  • register using false information;

  • use another person's account without authorization;

  • create accounts for fraud or abuse;

  • circumvent account restrictions; or

  • interfere with Platform security.

4. Products and Vendors

Whalewick permits approved Vendors to sell electronics and related products.

Products may include:

  • new products;

  • used products;

  • refurbished products; and

  • open-box products.

The condition must be clearly disclosed in the applicable listing.

Vendors are responsible for the accuracy of:

  • product descriptions;

  • condition;

  • specifications;

  • pricing;

  • stock information;

  • warranty information;

  • delivery information; and

  • claims about reseller or distributor status.

5. Orders

An order submitted through Whalewick may be subject to:

  • Vendor acceptance;

  • stock availability;

  • fraud checks;

  • payment authorization;

  • address verification;

  • compliance review; and

  • other reasonable verification.

Whalewick or the Vendor may cancel an order where permitted by law and marketplace policy, including for payment failure, unavailable stock, suspected fraud, unlawful products, or genuine listing errors.

6. Prices and Currency

Whalewick transactions are displayed and processed primarily in Sri Lankan Rupees (LKR).

Vendors are generally responsible for their product prices.

Applicable:

  • delivery charges;

  • payment-related charges;

  • taxes; and

  • other disclosed charges

may be added where applicable.

7. Online Payments

Online payments may be facilitated using Stripe, including Stripe Connect.

Payment processing may be subject to Stripe's applicable terms, verification requirements, security procedures, and payment-method rules.

Whalewick does not store full payment-card credentials where payment information is processed directly by an authorized payment provider.

8. Cash on Delivery

Certain products or Vendors may support Cash on Delivery (“COD”).

Availability may depend on:

  • Vendor;

  • product;

  • order value;

  • location;

  • delivery method; or

  • fraud/risk assessment.

A customer who repeatedly refuses legitimate COD orders or abuses COD functionality may have COD privileges restricted.

9. Pay at Store

Some Vendors may permit:

Order Online — Pay at Store

for store pickup.

The customer must first place the order through Whalewick.

Payment is then made directly to the Vendor at the approved Vendor location when collecting the order.

This feature does not permit customers and Vendors to move ordinary marketplace transactions off Whalewick.

Any attempt to use Whalewick to find a customer and then circumvent the Platform outside an approved Pay-at-Store transaction may violate these Terms and applicable Vendor policies.

10. Shipping

Vendors are responsible for shipping their own orders.

Whalewick does not currently operate the delivery service itself.

The Vendor may use its own delivery resources or third-party couriers.

Delivery estimates are estimates unless applicable law provides otherwise.

11. Store Pickup

Where offered, a customer may select store pickup.

The Vendor is responsible for:

  • preparing the product;

  • providing correct pickup information;

  • confirming availability; and

  • verifying the customer's order when appropriate.

Customers should not travel to collect an order until the applicable pickup status or Vendor communication indicates that it is ready.

12. Returns

Products may have a return period of:

  • 7 days;

  • 14 days; or

  • 30 days,

depending on the product, condition, Vendor, category, and listing.

The applicable period should be disclosed before purchase.

Change-of-mind returns may be accepted subject to the Return, Refund & Cancellation Policy and applicable eligibility requirements.

13. Wrong, Damaged, or Defective Products

Where a Vendor sends:

  • the wrong product;

  • a materially different product;

  • a defective product; or

  • a product damaged before delivery,

the Vendor is responsible for applicable return shipping where the claim is valid.

A Vendor may inspect returned products before approving a return.

Whalewick may review the matter where:

  • the Buyer disputes the Vendor's decision;

  • the Vendor fails to respond;

  • marketplace rules may have been violated; or

  • further mediation is appropriate.

14. Refunds

Refunds for online payments will normally be processed through the applicable payment channel.

Bank and payment-provider processing times may apply.

COD or Pay-at-Store refunds may require a different refund method agreed between the parties and permitted by Whalewick policy.

15. Warranties

Products may be sold with:

  • manufacturer warranty;

  • authorized distributor warranty;

  • Vendor warranty; or

  • another warranty disclosed in the listing.

Warranty type and duration must be accurately stated by the Vendor.

A warranty claim is separate from a normal change-of-mind return.

Mandatory consumer rights remain unaffected.

16. Reviews and Ratings

Verified or eligible customers may submit ratings and reviews.

Reviews must reflect genuine experiences.

You may not submit:

  • fake reviews;

  • incentivized reviews that are not properly disclosed;

  • abusive content;

  • spam;

  • defamatory statements;

  • impersonation;

  • competitor manipulation; or

  • content unrelated to the product or transaction.

Whalewick may moderate reviews to enforce marketplace rules.

17. Wishlist and Account Features

Whalewick may provide account features such as:

  • wishlists;

  • saved products;

  • order history;

  • saved addresses;

  • reviews;

  • support history; and

  • notification preferences.

Availability may change over time.

18. Marketing Communications

Users may receive marketing communications through channels such as:

  • email;

  • SMS; and

  • WhatsApp,

where permitted and based on applicable preferences and legal requirements.

Users may unsubscribe from marketing communications.

Transactional messages regarding orders, security, accounts, or required legal notices may still be sent.

19. Artificial Intelligence Features

Whalewick may use artificial intelligence services, including technology provided by OpenAI, to provide features such as:

  • product assistance;

  • search assistance;

  • support automation;

  • content generation;

  • categorization;

  • moderation assistance; or

  • other marketplace features.

AI-generated information may be inaccurate and should not be treated as a substitute for the applicable Vendor's confirmed product specifications, warranty information, pricing, or other authoritative listing details.

Whalewick may send information necessary to provide an AI feature to relevant service providers in accordance with the Privacy Policy.

20. Off-Platform Transactions

Except for approved Pay-at-Store transactions initiated through Whalewick, Buyers and Vendors may not use the Platform to intentionally bypass Whalewick and complete marketplace transactions privately.

Prohibited behavior may include:

  • asking customers to cancel and purchase privately;

  • providing payment details solely to avoid the Platform;

  • directing a Buyer to an external sales channel to avoid marketplace rules; or

  • using Whalewick customer information for unauthorized independent sales.

21. Prohibited Conduct

Users may not use Whalewick to:

  • commit fraud;

  • distribute malware;

  • compromise accounts;

  • manipulate orders;

  • abuse payment systems;

  • scrape data unlawfully;

  • manipulate reviews;

  • infringe intellectual property rights;

  • threaten or harass others;

  • purchase or sell prohibited items;

  • circumvent marketplace restrictions; or

  • otherwise violate applicable law.

22. Marketplace Disputes

Buyers should generally contact the Vendor first regarding product problems.

If the issue cannot be resolved, Whalewick customer support may mediate.

Whalewick may review:

  • order records;

  • communication history;

  • photographs;

  • delivery evidence;

  • warranty information;

  • product listing information; and

  • other relevant evidence.

Whalewick may take marketplace actions such as issuing platform decisions, restricting accounts, or adjusting transaction handling where authorized.

Nothing in Whalewick's internal dispute process removes rights users may have under applicable law.

23. Intellectual Property

Whalewick branding, software, interfaces, graphics, and original Platform materials belong to or are licensed to Cloverpin Inc.

Third-party brand names, logos, trademarks, and product names belong to their respective owners.

Use of a third-party mark on the Platform does not automatically imply sponsorship by that brand.

24. Platform Availability

Whalewick may occasionally experience:

  • maintenance;

  • outages;

  • third-party service interruptions;

  • software problems; or

  • security events.

Continuous availability is not guaranteed.

25. Account Suspension

Accounts may be suspended or terminated for reasons including:

  • fraud;

  • payment abuse;

  • counterfeit activity;

  • security risks;

  • repeated policy violations;

  • prohibited conduct; or

  • legal requirements.

26. Privacy

Use of personal data is governed by the Whalewick Privacy Policy and applicable law.

27. Consumer Rights

Nothing in these Terms is intended to exclude or restrict mandatory rights available under applicable Sri Lankan law.

Sri Lanka's Consumer Affairs Authority Act applies to goods and services and establishes protections relating to consumer interests.

28. Electronic Agreements

Account creation, electronic acceptance, order submission, notices, and other electronic interactions may form legally meaningful electronic records where permitted by law.

Sri Lanka's Electronic Transactions Act was enacted to facilitate domestic and international electronic commerce and establish legal certainty for electronic transactions.

29. Governing Law

These Terms are operated by Cloverpin Inc., a California corporation.

To the extent legally permitted, matters relating to Cloverpin Inc.'s corporate operations may be governed by applicable California and United States law.

However, Whalewick is marketed and operated as a marketplace for Sri Lankan customers and Vendors. Nothing in these Terms excludes mandatory Sri Lankan consumer, privacy, electronic-commerce, or other statutory protections that apply to a particular user or transaction.

This governing-law and jurisdiction section should be finalized by qualified California and Sri Lankan counsel before launch.
