This Seller Agreement (“Agreement”) governs participation as a seller on the Whalewick marketplace.
Whalewick is operated by Cloverpin Inc., a California corporation in the United States (“Cloverpin,” “Whalewick,” “we,” “us,” or “our”).
By applying for, creating, activating, or continuing to use a Whalewick Vendor account, the business identified in the Vendor account (“Vendor,” “Seller,” “you,” or “your”) agrees to this Agreement and all Whalewick policies incorporated into it.
If you do not agree to this Agreement, you may not sell products through Whalewick.
1. Whalewick Marketplace
Whalewick is a multi-vendor marketplace focused on electronics and related products in Sri Lanka.
Whalewick provides technology and marketplace services that may include:
Vendor storefronts;
product listings;
customer accounts;
order management;
payment facilitation;
Stripe Connect integrations;
Cash on Delivery functionality;
Pay-at-Store functionality;
customer reviews;
returns and dispute management;
Vendor dashboards;
customer support;
marketing tools; and
related marketplace functionality.
Unless expressly agreed otherwise, the Vendor remains the seller of the products it lists through Whalewick.
2. Vendor Eligibility
Whalewick currently accepts registered businesses operating in Sri Lanka.
Individual or casual personal sellers are not eligible unless Whalewick changes this requirement in the future.
To qualify as a Vendor, you must:
operate a legally registered business;
provide valid Sri Lankan business-registration documentation;
provide the NIC information of an authorized owner, director, officer, or representative where requested;
maintain a valid Sri Lankan bank account;
provide accurate business contact information;
complete required Whalewick verification;
complete applicable Stripe Connect onboarding;
have authority to enter into this Agreement on behalf of the business; and
comply with applicable Sri Lankan laws and marketplace policies.
Whalewick may request additional verification where reasonably necessary.
3. Vendor Verification
Whalewick may verify information including:
legal business name;
business-registration number;
registered or operating address;
NIC information;
authorized representatives;
telephone number;
email address;
banking information;
Stripe account information;
product sourcing;
reseller authorization;
distributor relationships; and
other compliance information.
You authorize Whalewick and its service providers to conduct reasonable verification checks.
You must promptly update information that becomes inaccurate or outdated.
4. Sri Lankan Bank Account
Vendors must maintain a valid Sri Lankan bank account that is acceptable for receiving payouts through Whalewick's supported payment infrastructure.
The account must belong to:
the registered Vendor business; or
another legally acceptable account holder approved during verification.
Whalewick may require evidence establishing ownership or control of the bank account.
5. Stripe Connect
Whalewick uses Stripe Connect to facilitate certain Vendor payment and payout functionality.
As a Vendor, you may be required to:
create or connect a Stripe account;
provide identity information;
provide business information;
provide banking information;
complete verification requested by Stripe;
accept applicable Stripe agreements; and
comply with Stripe requirements.
Stripe may independently impose:
verification requirements;
payment restrictions;
reserves;
payout restrictions;
account limitations; or
other measures under its applicable terms.
Whalewick does not control all decisions made independently by Stripe.
6. 0% Marketplace Commission
Whalewick's standard marketplace commission is:
0%
Whalewick does not deduct a marketplace sales commission from Vendor product sales.
Accordingly:
Vendors keep 100% of their product sales proceeds.
For clarity, “0% Commission” means that Whalewick does not charge a percentage-based marketplace commission on the Vendor's product sale amount.
7. External Costs
The 0% marketplace commission does not mean that every transaction is free of external expenses.
Vendors remain responsible for applicable third-party or operational costs, which may include:
Stripe payment-processing fees;
bank charges;
payout charges;
currency-related charges;
refunds;
chargebacks;
dispute charges;
shipping expenses;
taxes;
government charges;
insurance;
optional paid services; and
other external expenses.
These costs are not Whalewick marketplace commission.
Unless Whalewick expressly agrees otherwise, payment-processing fees are the responsibility of the Vendor.
8. Future Whalewick Fees
Whalewick will not retroactively impose marketplace commission on completed transactions.
If Whalewick introduces:
subscription plans;
advertising services;
premium seller tools;
featured-placement fees;
optional marketing services; or
other paid services,
the applicable pricing will be disclosed separately.
Use of an optional paid service will be subject to its applicable terms.
Any future change to the standard marketplace commission will be communicated before it becomes effective and will not apply retroactively to completed transactions.
9. Product Categories
Whalewick currently focuses on:
electronics and related products.
Whalewick may establish approved product categories and subcategories.
Vendors must not list unrelated products without permission.
Whalewick may add, restrict, or remove categories as the marketplace evolves.
10. Product Condition
Whalewick allows eligible products to be listed as:
New;
Open Box;
Refurbished; or
Used.
The Vendor must clearly and accurately select the appropriate condition.
A Vendor must not advertise:
used merchandise as new;
refurbished merchandise as new;
open-box merchandise as factory sealed; or
materially damaged merchandise without disclosure.
11. Product Listing Accuracy
Vendors are responsible for all listings they create or approve.
Listings must accurately describe:
product name;
manufacturer;
model;
condition;
specifications;
included accessories;
storage/capacity where relevant;
color;
compatibility;
price;
stock;
warranty;
delivery terms;
return eligibility;
defects;
cosmetic condition; and
other material information.
Material omissions may be treated as misleading listings.
12. Product Images
Product images must reasonably represent the item offered.
You must have the right to use any photographs, manufacturer assets, logos, trademarks, or other media you upload.
Images must not intentionally conceal:
damage;
missing accessories;
changed condition;
material differences; or
other relevant characteristics.
For used or open-box products, Whalewick may require photographs of the actual product.
13. Authentic Products
All products sold through Whalewick must be authentic and lawfully sourced.
Strictly prohibited products include:
counterfeit products;
imitation products represented as genuine;
stolen products;
illegally obtained products;
unlawfully imported goods;
products bearing unauthorized trademarks;
falsified serial-number products; and
products otherwise prohibited under Whalewick policy or applicable law.
Whalewick may request invoices, distributor documentation, import records, reseller authorization, or other evidence of authenticity.
14. Authorized Reseller Claims
A Vendor may claim to be:
an Authorized Reseller;
Authorized Dealer;
Authorized Distributor;
Official Partner; or
similar designation
only if that claim is genuine and supported by valid authorization.
Whalewick may request documentation.
You must notify Whalewick immediately if your authorization:
expires;
is suspended;
is terminated;
becomes restricted; or
is otherwise no longer valid.
Whalewick may remove authorization badges or claims where evidence is insufficient.
15. Inventory
Vendors must make reasonable efforts to maintain accurate inventory.
Products should not intentionally remain available for purchase when the Vendor knows they are unavailable.
Repeated cancellations resulting from inaccurate inventory may result in:
reduced marketplace visibility;
listing restrictions;
account review; or
suspension.
16. Pricing
Vendors control their product prices, subject to marketplace rules and applicable law.
Prices must be truthful.
Vendors may not use misleading pricing practices, including fabricated reference prices or discounts.
Whalewick primarily displays prices in:
Sri Lankan Rupees (LKR).
17. Orders
When a customer places an order for your product, you are responsible for reviewing and fulfilling the order promptly.
You must not cancel valid orders without legitimate reason.
Reasons that may justify cancellation can include:
genuine inventory errors;
pricing errors;
inability to deliver;
suspected fraud;
legal restrictions; or
other circumstances permitted by Whalewick.
Repeated unjustified cancellations may affect Vendor privileges.
18. Online Payments
For supported online-payment transactions, Whalewick may facilitate payment through Stripe and Stripe Connect.
The exact payment flow may depend on:
transaction configuration;
payment method;
Stripe requirements;
Vendor account configuration; and
applicable marketplace processes.
Vendors authorize Whalewick and Stripe to process transactions and adjustments necessary to operate the marketplace.
19. Cash on Delivery
Whalewick may permit Vendors to offer:
Cash on Delivery (“COD”).
For COD orders, Vendors are responsible for appropriate collection arrangements through their chosen delivery process.
The Vendor is responsible for accurately recording the transaction and order status.
Whalewick may establish additional COD rules to reduce:
fraudulent orders;
failed deliveries;
accounting discrepancies; and
abuse.
20. Pay at Store
Whalewick may permit Vendors to offer:
Order Online — Pay at Store.
Under this feature:
the customer places the order through Whalewick;
the Vendor accepts/prepares the order;
the customer visits the approved Vendor location;
the customer pays the Vendor at the store; and
the Vendor records completion through Whalewick.
Pay at Store is an approved Whalewick transaction method and is not considered prohibited off-platform circumvention when properly used.
21. Off-Platform Transactions
Except for officially supported Pay-at-Store transactions, Vendors may not use Whalewick to acquire customers and then intentionally move the transaction outside the Platform.
Prohibited conduct includes:
asking customers to cancel a Whalewick order and pay privately;
directing customers to purchase the listed product from another website to avoid marketplace processes;
providing bank details solely to bypass Whalewick;
requesting private payment after obtaining a customer through Whalewick;
using Whalewick customer information to solicit unauthorized off-platform purchases.
Whalewick may suspend Vendors that intentionally circumvent the marketplace.
22. Shipping Responsibility
Vendors are responsible for shipping their own orders.
Whalewick currently does not provide the shipping service.
A Vendor may use:
its own delivery service;
third-party couriers; or
another lawful delivery provider.
The Vendor is responsible for selecting and managing those providers.
23. Shipping Information
Vendors must provide accurate:
shipping charges;
delivery coverage;
estimated delivery times;
dispatch information; and
tracking information where available.
Vendors are responsible for appropriately packaging products.
24. Risk During Delivery
Responsibility for loss or damage during delivery will be determined under applicable law, the applicable shipping arrangement, and Whalewick policies.
Vendors should use appropriate:
packaging;
tracking;
insurance where appropriate; and
delivery confirmation
for high-value electronics.
25. 14-Day Return Period
Whalewick uses a standard:
14-DAY RETURN PERIOD
for eligible marketplace purchases.
Unless an exception permitted by applicable law and Whalewick policy clearly applies, the 14-day period begins when the customer:
receives the delivered product; or
collects the product from the Vendor's store.
Vendors agree to comply with the Whalewick Return, Refund & Cancellation Policy.
26. Change-of-Mind Returns
Eligible customers may request a change-of-mind return within the applicable 14-day period, subject to Whalewick's return conditions.
The Vendor may reasonably require the product to be returned:
in materially unchanged condition;
without customer-caused damage;
with included accessories;
with applicable manuals;
with serial-number labels intact; and
with packaging where reasonably required.
Applicable exclusions must comply with Whalewick policy and law.
27. Defective or Incorrect Products
Where you send:
a defective product;
an incorrect product;
a materially misdescribed product;
a damaged product; or
an incomplete product,
you are responsible for resolving the issue in accordance with Whalewick policy and applicable law.
When the Vendor is responsible for the problem, the Vendor is responsible for applicable return-shipping expenses.
28. Initial Return Review
The Vendor receives the first opportunity to review a return request.
You may reasonably inspect the item and supporting evidence.
You must not:
automatically reject valid claims;
intentionally delay returns until the 14-day period expires;
impose undisclosed return requirements;
deny statutory consumer rights; or
pressure customers to close legitimate disputes.
29. Whalewick Return Review
Whalewick may review a Vendor's return decision when:
the customer appeals;
the Vendor does not respond;
there is disagreement over condition;
the listing may have been inaccurate;
the product may be counterfeit;
marketplace policy may have been violated; or
mediation is otherwise appropriate.
Whalewick may request:
photographs;
videos;
serial numbers;
courier evidence;
testing reports;
communication records;
invoices; and
other relevant evidence.
Vendors agree to cooperate reasonably with such reviews.
30. Refunds
Where a refund is approved, Vendors authorize Whalewick and/or the relevant payment provider to process applicable transaction adjustments.
Refund processing may involve:
reversal of unsettled funds;
deductions from available Vendor balances;
adjustments to future payouts; or
other permitted recovery methods.
31. Warranty Types
Vendors may offer products with:
Manufacturer Warranty;
Authorized Distributor Warranty;
Vendor/Seller Warranty; or
another accurately disclosed warranty type.
Each product listing must clearly identify the applicable warranty.
32. Warranty Accuracy
A Vendor must not advertise:
Manufacturer Warranty
unless the product genuinely qualifies for that manufacturer's applicable warranty.
A Vendor must not advertise:
Authorized Distributor Warranty
unless the warranty is genuinely backed by the stated authorized distributor.
Vendor warranties must clearly identify:
duration;
coverage;
exclusions;
claim procedure; and
responsible party.
33. Used, Refurbished and Open-Box Warranty
Used, refurbished, and open-box products may have warranty terms different from new products.
Those differences must be clearly disclosed before purchase.
The Vendor remains responsible for mandatory rights that cannot legally be excluded.
34. Payout Eligibility
For applicable prepaid transactions, Vendor funds become eligible for normal payout after the 14-day return period has expired, subject to this Agreement.
This approach allows the applicable customer return period to expire before normal release of Vendor funds.
35. Seven-Day Payout Cycle
Whalewick normally operates a:
7-DAY VENDOR PAYOUT CYCLE
for eligible balances.
This means eligible balances are processed according to the applicable weekly payout schedule.
It does not guarantee that funds will reach the Vendor's bank account exactly seven days after an order.
Actual timing may also depend on:
the order's 14-day return period;
payment settlement;
Stripe processing;
banking schedules;
weekends;
holidays;
account verification;
disputes;
refunds;
chargebacks; and
risk reviews.
36. Payout Holds
Whalewick may reasonably hold, delay, restrict, or adjust a payout where necessary because of:
an active return;
refund request;
chargeback;
payment dispute;
suspected fraud;
account compromise;
counterfeit concerns;
prohibited products;
unresolved customer complaint;
legal requirement;
Stripe restriction;
Vendor verification issue; or
material violation of this Agreement.
Holds should be limited to what Whalewick reasonably considers necessary in the circumstances, subject to applicable law.
37. Negative Balances
A Vendor account may develop a negative balance due to matters such as:
refunds;
disputes;
chargebacks;
reversals; or
transaction adjustments.
Where legally and contractually permitted, the Vendor authorizes recovery through:
available marketplace balances;
future transaction proceeds;
Stripe mechanisms;
direct reimbursement; or
another agreed method.
38. Chargebacks
Vendors must reasonably cooperate in responding to chargebacks and payment disputes involving their transactions.
You may be required to provide:
proof of shipment;
proof of delivery;
invoices;
product information;
customer communication;
serial numbers;
pickup confirmation; or
other evidence.
Vendor responsibility for chargeback-related costs will be determined under applicable payment-provider rules, Whalewick policy, and the circumstances of the transaction.
39. Taxes
Vendors are responsible for determining and satisfying applicable taxes and registrations associated with their business and sales except where Whalewick is legally required to collect, withhold, report, or remit an amount.
Whalewick may request tax information where required for marketplace compliance.
40. Customer Information
A Vendor may receive customer information necessary to complete an order, potentially including:
name;
telephone number;
delivery address;
pickup information;
ordered products; and
order-related communications.
This information remains subject to privacy and marketplace restrictions.
41. Permitted Use of Customer Data
Vendors may use Whalewick customer information only for legitimate purposes related to the applicable marketplace relationship, including:
processing an order;
delivering products;
arranging pickup;
customer service;
returns;
refunds;
warranty service;
fraud prevention; and
legal obligations.
42. Prohibited Use of Customer Data
Unless separately authorized by the customer and permitted by law, Vendors must not:
sell customer information;
disclose customer information to unrelated parties;
add customers to unrelated marketing databases;
send unauthorized marketing;
use customer information for off-platform solicitation;
scrape customer information;
retain information longer than reasonably necessary; or
use customer information for unrelated purposes.
Vendors must implement reasonable security measures to protect customer data.
43. Marketing Communications
Whalewick may offer approved tools allowing Vendors to participate in marketing campaigns.
Vendors may not independently use Whalewick customer contact details for SMS, WhatsApp, email, or other marketing unless:
the customer has provided appropriate authorization;
applicable law permits it; and
Whalewick policies permit it.
44. Intellectual Property
Vendors retain rights in content they own.
By uploading Vendor content to Whalewick, the Vendor grants Cloverpin Inc. a non-exclusive, worldwide, royalty-free license to host, reproduce, resize, format, display, distribute, and use that content as reasonably necessary to:
operate Whalewick;
display listings;
market marketplace products;
advertise the Vendor's listings;
improve the Platform; and
provide marketplace services.
45. Third-Party Intellectual Property
You must not upload or sell content or products that infringe:
trademarks;
copyrights;
patents;
design rights;
trade dress;
rights of publicity; or
other intellectual property.
Whalewick may remove disputed listings while reviewing intellectual-property complaints.
46. Counterfeit Enforcement
Whalewick may immediately suspend or remove a listing where there is reasonable evidence of counterfeit activity.
For serious or repeated violations, Whalewick may:
suspend the Vendor;
terminate the Vendor;
hold funds where legally permitted;
cancel affected orders;
notify affected customers;
preserve evidence;
cooperate with rights holders; or
cooperate with authorities where legally required.
47. Reviews
Vendors must not manipulate Whalewick reviews.
Prohibited behavior includes:
reviewing your own products using fake accounts;
purchasing fake reviews;
offering undisclosed compensation solely for positive reviews;
threatening customers over reviews;
conditioning support on removing a legitimate review;
submitting negative reviews against competitors; or
manipulating ratings.
Vendors may appropriately respond to reviews using available marketplace functionality.
48. Customer Service
Vendors must provide reasonable customer service.
Vendors should respond within a reasonable period to:
order questions;
delivery issues;
return requests;
warranty claims;
Whalewick investigations; and
customer complaints.
Repeated failure to respond may result in marketplace action.
49. Disputes
Customers and Vendors should first attempt to resolve ordinary transaction issues through the applicable Whalewick processes.
Whalewick may mediate unresolved disputes.
Vendors agree to reasonably cooperate.
Whalewick's marketplace decision does not eliminate legal rights or remedies that cannot lawfully be waived.
50. Vendor Performance
Whalewick may monitor marketplace-performance factors such as:
order cancellations;
fulfillment delays;
return rates;
customer complaints;
counterfeit reports;
response times;
inaccurate listings;
dispute rates; and
policy violations.
Whalewick may use these factors to maintain marketplace quality.
51. Prohibited Vendor Conduct
Vendors must not:
engage in fraud;
sell counterfeit products;
falsify verification documents;
manipulate prices deceptively;
manipulate reviews;
misuse customer data;

sell prohibited products;
interfere with Platform systems;

product-category restrictions;
payout holds;
temporary selling restrictions;
removal of reseller badges;
account suspension; or
account termination.
53. Immediate Suspension
Whalewick may suspend a Vendor immediately where reasonably necessary to address serious risks involving:
fraud;
counterfeit goods;
stolen products;
cybersecurity;
customer safety;
false identity;
payment abuse;
government or court orders; or
material legal violations.
54. Termination by Vendor
A Vendor may request closure of its Whalewick account.
Account closure does not eliminate outstanding obligations relating to:
existing orders;
returns;
refunds;
warranties;
chargebacks;
customer disputes;
taxes;
amounts owed; or
legal requirements.
55. Termination by Whalewick
Whalewick may terminate the Vendor relationship for material or repeated breaches of this Agreement or applicable policies.
Where appropriate, Whalewick may provide notice and an opportunity to remedy the issue.
Serious fraud, counterfeit activity, security threats, or unlawful conduct may justify immediate termination.
56. Data After Termination
Following termination, Whalewick may retain Vendor and transaction records where reasonably necessary for:
accounting;
fraud prevention;
disputes;
warranty administration;
legal compliance;
tax requirements;
security; or
enforcement.
Personal data will be handled in accordance with the Whalewick Privacy Policy and applicable law.
57. Changes to Marketplace Services
Whalewick may develop or change:
marketplace features;
seller dashboards;
payment methods;
payout functionality;
listing tools;
marketing features;
policies; and
supported categories.
Material contractual changes will be communicated as required by applicable law.

products;
listings;
counterfeit merchandise;
intellectual-property infringement;
data misuse;
tax obligations;
regulatory violations;
breach of this Agreement;
fraud; or
willful misconduct.
This provision does not shift responsibility to the Vendor for Cloverpin Inc.'s own conduct where such responsibility cannot legally be transferred.
60. Limitation of Liability
To the maximum extent permitted by applicable law, Cloverpin Inc. will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the Vendor's use of Whalewick.
Nothing in this Agreement excludes liability that cannot lawfully be excluded.
61. Independent Businesses

Nothing in this Agreement creates:
employment;
agency;

between the Vendor and Cloverpin Inc., except to the extent a specific legal relationship necessarily arises from a particular marketplace or payment function.
A Vendor may not represent itself as an employee or agent of Whalewick.

business;
products;
advertising;
imports;
product safety;

intellectual property; and
marketplace activities.
Whalewick may implement additional compliance measures where required by applicable law.

Whalewick's current launch is directed to transactions in Sri Lanka.
64. Electronic Acceptance

Shipping, Delivery & Store Pickup Policy;
Payment & Vendor Payout Policy;

Prohibited & Restricted Products Policy;
Intellectual Property & Counterfeit Goods Policy;

If a Seller-specific policy conflicts with the general Terms of Service concerning a Vendor-specific matter, the more specific Seller provision should govern to the extent legally permitted.

Whalewick may update this Agreement to reflect:
changes in marketplace operations;
